Terms of Service

Please read these Terms of Service ("Terms") carefully before downloading, installing, or using the Ayva mobile application ("the App") operated by Ayva ("we", "us", or "our"). By using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
1. Acceptance of Terms
By creating an account or using the App in any way, you represent that you are at least 13 years of age (or at least 16 years of age if you are in the European Union), and that you have the legal capacity to enter into a binding agreement. If you are using the App on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Ayva is an AI-powered personal assistant application for Android devices. The App is designed to act as an intelligent, proactive companion that learns your preferences and helps you throughout your day. Core capabilities include:
- AI Conversation — Natural language chat powered by Google Gemini AI
- Overlay Assistant — A floating chat interface activated via the power button, available system-wide over any app
- Voice Assistant — Real-time voice interaction using Gemini Live streaming
- Persistent Memory — The App remembers facts, preferences, plans, and people you mention across sessions
- Proactive Notifications — Context-aware reminders, morning briefings, and follow-ups based on your conversations
- Smart Home Control — Control of compatible smart home devices (Premium)
- Spotify Integration — Music playback control and personalization
- Google Calendar Integration — Scheduling, event creation, and calendar queries
- Gmail Integration — Email summaries and notification assistance
- Contacts & Calls — Initiating phone calls using your contacts
- Web Search (Grounding) — Real-time web-augmented responses (Premium)
- Multimodal Input — Send images and videos in conversations (Premium)
The App is currently available exclusively for Android. Features may vary based on your subscription tier and device capabilities.
3. Account Registration
To use Ayva, you must create an account using a valid email address and password, or sign in with Google. You are responsible for:
- Providing accurate and complete registration information
- Maintaining the security and confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized access to your account
You may not share your account with others or create accounts for the purpose of abusing the service. We reserve the right to refuse registration or cancel accounts at our discretion.
4. Subscriptions and Payments
Free Tier
Ayva offers a free tier with access to core AI chat features. Free users are subject to a daily message limit. Certain features — including Smart Home Control, Web Search (Grounding), voice assistant, image/video input, and advanced integrations — are only available on the Premium tier.
Premium Subscription
Premium access is available as a paid subscription. By subscribing, you unlock all features without daily message limits. Subscription pricing, billing cycle, and available plans are displayed within the App at the time of purchase. Payments are processed through Google Play Billing; your payment information is handled exclusively by Google and is never transmitted to or stored by Ayva.
Billing and Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. Your Google Play account will be charged for renewal within 24 hours before the end of the current period. You can manage or cancel your subscription at any time through the Google Play Store app under "Subscriptions".
Cancellation and Refunds
Upon cancellation, you retain Premium access until the end of the current paid billing period. We do not provide refunds for partial billing periods. Refund requests for purchases made via Google Play are subject to Google Play's refund policy. If you believe you are entitled to a refund, contact us at support@ayvaai.com.
Subscription Restoration
If you reinstall the App or switch to a new device, your Premium subscription can be restored by logging into your account. Your subscription is tied to your Ayva account, not a specific device.
5. Android Permissions
The App requires certain Android permissions to function. By granting these permissions, you authorize the App to use the specified device capabilities as described in our Privacy Policy. You may revoke optional permissions at any time through your device's Settings app. Revoking required permissions may limit or disable certain features.
The Notification Listener permission, if granted, allows the App to read notification content for proactive AI assistance. This data is processed in real time only and is not stored. You may revoke this permission at any time from Android Settings > Notification Access.
6. Acceptable Use
You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the App for any illegal, fraudulent, or unauthorized purpose
- Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the App
- Attempt to gain unauthorized access to our servers, databases, or other systems
- Submit harmful, abusive, harassing, hateful, or spam content to the AI
- Use the App to generate content that infringes on third-party intellectual property rights
- Share, sell, or transfer your account credentials to any third party
- Use automated tools (bots, scripts) to interact with the App or our APIs
- Deliberately exceed rate limits or abuse the service in a way that degrades performance for other users
- Attempt to manipulate or circumvent the subscription system to access Premium features without payment
- Use the App to collect or harvest personal data of other individuals without their consent
Violation of these terms may result in immediate suspension or termination of your account without notice or refund.
7. AI-Generated Content
Ayva uses artificial intelligence to generate responses. While we strive for accuracy and helpfulness, you acknowledge that:
- AI-generated content may contain errors, inaccuracies, or outdated information
- Ayva's responses should not be relied upon as professional medical, legal, financial, or psychological advice
- You are responsible for verifying any critical information before acting on it
- The AI's memory of you is based on what you have shared and may be incomplete or misinterpreted
- We are not liable for decisions made based on AI-generated content
8. Third-Party Integrations
Ayva integrates with third-party services including Spotify, Google (Calendar, Gmail, Maps, Contacts), Google Play, and smart home platforms. Your use of these integrations is governed by the respective terms of service and privacy policies of each provider.
We are not responsible for the availability, accuracy, or functionality of third-party services. If a third-party service is unavailable or changes its API, the corresponding Ayva features may be temporarily or permanently affected. We do not guarantee continuous compatibility with third-party platforms.
9. Smart Home Control
The Smart Home Control feature (Premium) allows Ayva to send commands to compatible devices on your behalf. You acknowledge that:
- You are responsible for the safe configuration of your smart home devices
- We are not liable for any damage, injury, or unintended behavior resulting from smart home commands executed through the App
- Smart home functionality depends on third-party device platforms (e.g., Tuya) and their availability
10. Intellectual Property
The App, including its code, design, branding, and content, is the intellectual property of Ayva and its developers, protected by copyright and other applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to install and use the App on your Android device solely for personal, non-commercial purposes.
You retain ownership of any content you submit to the App (e.g., messages, photos). By submitting content, you grant us a limited license to process and store it solely to provide the service to you.
11. Privacy
Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully to understand our data practices.
12. Disclaimer of Warranties
The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not warrant that the App will be error-free, secure, or continuously available.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Ayva and its developers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App, including but not limited to:
- Loss of data or unauthorized access to your data
- Service interruptions, outages, or errors
- Reliance on AI-generated content
- Actions taken based on smart home commands
- Third-party service failures or changes
Our total liability to you for any claim arising from use of the App shall not exceed the amount you paid for the App in the 12 months preceding the claim.
14. Termination
We reserve the right to suspend or terminate your account and access to the App at any time, with or without notice, if you violate these Terms, abuse the service, or engage in activities that could harm other users, third parties, or the platform. Upon termination, your right to use the App ceases immediately.
You may terminate your account at any time by using the in-app account deletion feature or by contacting us at support@ayvaai.com.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes via the App or by email at least 14 days before they take effect. Your continued use of the App after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the App.
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions. For users in the European Union, mandatory consumer protection provisions of your country of residence also apply.
Any disputes arising from these Terms or your use of the App shall first be attempted to be resolved informally by contacting us at support@ayvaai.com. If informal resolution fails, disputes shall be submitted to the competent courts of the Czech Republic.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
