Terms of Service
Effective from 21 October 2026
These terms govern the relationship between you and the operator of the Ayva app when you use the app and the subscription. They are written to be readable; if anything is unclear, write to us. This is a translation; the contract is concluded in Czech and the Czech version is binding.
If you are a consumer, nothing in these terms takes away rights the law gives you — wherever the terms and the law differ, the law applies.
1. Operator and contact
The Ayva service is provided by:
Jan Veselýfyzická osobaE-mail: veselyjan@ayvaai.com
The app is in a closed test. Further operator details (company ID, address, phone) will be added before the public launch; until then, please use the e-mail above.
You can write to us at veselyjan@ayvaai.com — this is also the single point of contact for users and authorities under the Digital Services Act (Art. 11 and 12 DSA). You can write in Czech, Slovak or English; a person answers, not just a machine.
We are not bound by any code of conduct.
2. Introductory provisions
- Ayva is only for people aged 18 and over. By subscribing you confirm you are at least 18 and able to enter into a contract.
- The contract is concluded in Czech; the English translation is for convenience only. We archive the version of the terms in effect when the contract was concluded and will e-mail it to you on request.
- How the contract is concluded: (1) you download the app from Google Play and create an account, (2) you go through setup, (3) the subscription screen shows the price, the length of the free trial, the date of the first payment and the renewal terms, and (4) you confirm the trial or subscription in the Google Play purchase sheet. The contract is concluded by that confirmation. Before confirming you can review everything and cancel the purchase; you correct input errors by closing the sheet and choosing again.
- The contract is concluded for an indefinite period with automatic renewal of the subscription (section 4) and has no minimum term.
3. The service
Ayva is a personal AI assistant for Android: chat and voice with memory, a morning briefing and alerts at the right moment, calendar, reminders, navigation, automations, help with what’s on the screen, an overview of what it knows about you, a widget and launching with the power button. The current scope of the service is described on the pricing page. Some features need your permission in Android (notifications, location, contacts, calendar) or a connection to a third-party service; without them the rest of the service keeps working.
- Requirements: a phone with Android 7.0 or later with Google Play services and an internet connection. Install the app only from Google Play — for security reasons it won’t start on a rooted phone, as a modified app or from another store.
- Abuse limits: at most 200 messages per hour on the base Ayva plan and 400 on Ayva Plus, and at most 60 minutes of voice per hour. Real-time voice has a monthly limit depending on the plan (75 minutes on the base Ayva plan, 150 minutes on Ayva Plus); typing has no fixed monthly message limit (only fair use below applies). During the free trial, lower limits apply on every plan: at most 100 messages per hour and 30 minutes of real-time voice per calendar month. You can see your plan’s current limit on the pricing page and in the app.
- Fair use: the service is meant for personal use by one person. Besides the limits above, we track each account’s AI costs in a calendar month (what we pay the model providers for your questions, voice and proactive messages). The thresholds are set so that normal personal use, including the full monthly voice limit, stays below them. If they exceed USD 4 on the basic plan, we may answer with a more economical AI model until the end of the month and real-time voice will not be available until the end of the month (typing keeps working); if they exceed USD 6, we may also pause new messages until the end of the month. On Ayva Plus these thresholds are USD 8 and USD 11, during the free trial USD 1.5 and USD 2.5. Scheduled reminders and briefings keep coming. The app always tells you what is happening, and you can see your monthly usage in the data export. NÁVRH
- Updates: we update the service continuously so it keeps working and stays secure; app updates come through Google Play. The AI model may be replaced with a comparable or better one.
4. Subscription, price and free trial
- Ayva cannot be used without a subscription. There is no free version; before subscribing you can try a short voice demo during setup (at most 3 minutes).
- Free trial: the first 14 days are free (invited friends get longer under section 10). There is one trial per user, shared across all plans, and lower limits apply during it (section 3). On Android you start the trial in Google Play, so you need a payment method there; on desktop and the web you start it on the web payment page. If you cancel before the trial ends, you pay nothing; otherwise it automatically turns into a paid subscription and Google Play (for payment on the web, the web payment provider) takes the first payment on the date shown on the subscription screen.
- Price: the base Ayva plan costs CZK 299 / €12.99 per month, or CZK 2,490 / €109.99 per year (the yearly plan); Ayva Plus costs CZK 499 / €21.99 per month (Plus is monthly only). Prices include VAT; the first amount applies in the Czech Republic, the second in the eurozone. In other countries the price in local currency shown by the app and Google Play before you confirm applies. The price shown when the contract is concluded applies.
- Payment and renewal: on Android Google Play processes the payment under its own terms, on desktop and the web a web payment provider does; we never receive card details. The subscription renews automatically for the next period (a month, or a year for the yearly plan) until you cancel it.
- Cancellation: at any time in the Google Play app → Payments & subscriptions → Subscriptions → Ayva → Cancel, or directly here; in Ayva, Settings → Subscription leads to the same place. A subscription bought on the web is cancelled in Ayva under Settings → Subscription. Cancellation takes effect at the end of the paid period and you keep Ayva until then. Just deleting the app or the account does not cancel the subscription, whether in Google Play or on the web.
- Price changes: we change the price for existing subscribers only with at least 30 days’ notice by e-mail or in the app; Google Play will also ask for your consent under its rules. If you don’t agree with the new price, you cancel the subscription and the old price applies until then.
- Restoring access: the subscription is tied to your Ayva account; after reinstalling or on a new phone you sign in and the subscription is restored.
5. Withdrawal from the contract
You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period expires after 14 days from the day of the conclusion of the contract — for a subscription with a free trial, from the day you started the trial in Google Play or on the web.
To exercise the right of withdrawal, you must inform us of your decision to withdraw by an unequivocal statement (e.g. an e-mail to veselyjan@ayvaai.com). You may use the model withdrawal form below, but it is not obligatory. You can also withdraw online — in the app (Settings → Account Settings → Withdraw from contract → Confirm withdrawal) or at ayvaai.com/withdrawal. If you use this option, we will send you acknowledgement of receipt of the withdrawal in text form (by e-mail) without delay, including its content and the date and time it was sent. To meet the withdrawal deadline, it is sufficient to send your withdrawal before the period has expired.
Effects of withdrawal. If you withdraw during the free trial, we end the subscription so it doesn’t renew and you pay nothing. If you have already paid, we will reimburse all payments received from you without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw, and end the subscription. We will carry out the reimbursement using the same means of payment as you used for the initial transaction (a refund through Google Play, or through the web payment provider for payment on the web), unless you have expressly agreed otherwise. In any event, you will not incur any fees as a result of the reimbursement.
We charge you nothing for the period in which you used the service during the withdrawal period — we refund the full payment.
Withdrawal is not the same as cancelling the subscription (section 4): cancelling only stops the next renewal, withdrawal also ends the contract with a refund. The withdrawal provisions apply to consumers; your statutory rights for defective performance (section 6) are not affected.
Model withdrawal form
(complete and return this form only if you wish to withdraw from the contract) — To: the operator named in section 1, e-mail veselyjan@ayvaai.com. I hereby give notice that I withdraw from my contract for the provision of the Ayva service (Ayva app subscription). Date the contract was concluded (trial started): … Name: … Ayva account e-mail: … Google Play order number (optional): … Address (optional): … Signature (only if this form is sent on paper): … Date: …
6. Defects and complaints
We are responsible for the service conforming to the contract and this description for the whole subscription and working as can reasonably be expected (Section 2389a et seq. of the Czech Civil Code). If it doesn’t, you have statutory rights for defective performance: to have the defect remedied and, if that doesn’t happen within a reasonable time or the defect is substantial, a reasonable price reduction or withdrawal from the contract with a proportionate refund.
Report a defect by e-mail to veselyjan@ayvaai.com describing what doesn’t work; the app version and phone model help. We will acknowledge and handle the complaint without undue delay and within 30 days at the latest, unless we agree on a longer period. We will e-mail you the result.
AI answers may be inaccurate or incomplete (section 7) — so check anything important. This does not limit your rights in respect of defects in any way: we are responsible for the service conforming to the contract even when a defect is caused by the model or another of our suppliers (e.g. OpenAI, Google, Supabase, Fly.io). We are only not responsible for services you choose yourself and that we do not run (your MCP servers, the apps you send messages through).
7. Artificial intelligence
- Ayva is artificial intelligence, not a person. Its answers, voice, suggestions and proactive messages are generated by language models: written text by an OpenAI GPT model, voice conversations by Google Gemini.
- Outputs may be inaccurate, incomplete, outdated or inappropriate, and Ayva’s memory may not exactly match what you said. Double-check important information.
- Ayva is not a substitute for a doctor, lawyer, financial, tax or psychological adviser. In an emergency call 112 — Ayva does not call emergency services and must not be relied on in emergencies.
- Actions involving third parties (calls, messages, replies to messages, shared links, calendar changes, commands to your MCP servers) are carried out only on your instruction or with your confirmation; you are responsible for content you send this way.
- You can report an inappropriate or wrong answer right in the app (long-press the answer → Report). We use reports to fix problems and tune filters.
This does not affect our liability under the law (section 13) — we are responsible for a defect in the service even if the model caused it.
8. Acceptable use
Don’t use Ayva for anything illegal or harmful. In particular, don’t use it to:
- create or spread illegal content, child sexual abuse material, intimate content without the consent of those depicted, threats, harassment, fraud or hateful content;
- spread phishing, spam or misleading content through shared reminders or other links from Ayva;
- circumvent the subscription, limits or security measures, share your account with other people or sell it;
- attack the service or its infrastructure, try to obtain other people’s data or reverse-engineer the app beyond what the law allows;
- use Ayva or your MCP servers to scrape third-party services contrary to their rules or to process other people’s personal data without a legal basis;
- use Ayva for decisions the AI Act classifies as high-risk (e.g. about other people’s employment, credit or education).
You may use automations, the widget and your own MCP servers — they are part of the service — as long as you stay within the limits and these rules.
Reporting illegal content. Report content you believe is illegal (e.g. a shared reminder at ayvaai.com/r/…) with the “Report abuse” link on that page, in the app or by e-mail to veselyjan@ayvaai.com, explaining why the content is illegal and with a link to it. A person reviews the report and we will tell you the outcome. We enforce these rules through a combination of automated measures (model safety filters, limits) and human review by the operator.
9. Restriction and termination
- You can cancel the subscription at any time (section 4), withdraw from the contract (section 5) and delete your account at any time in the app (Settings → Account Settings) or on the website. Deleting the account irreversibly deletes your data; cancel the subscription first — in Google Play or, for payment on the web, in Ayva under Settings → Subscription.
- We may restrict or suspend your account or an individual feature, or terminate the contract, only for a serious reason: a serious or repeated breach of the rules in section 8, illegal content, a threat to the security of the service or other people, fraud or abuse (including of the invitation programme), an account of a person under 18, or an order of an authority or court. We choose proportionate measures — from restricting a feature to closing the account.
- Before taking a measure we will warn you and give you a chance to respond, unless urgency or the law prevents it. For every restriction we will e-mail you a statement of reasons (what we restricted, why, on what basis and how you can contest it). You can contest the decision at veselyjan@ayvaai.com; a person will review it again.
- We may also terminate the contract without any breach on your part (for example when discontinuing the service), with at least 30 days’ notice by e-mail. If we end the contract through no fault of yours, we will refund a proportionate part of the subscription for the unused paid period.
- Before termination you can download your data (Settings → Privacy & data → Download my data).
10. Invitation programme (“Invite a friend”)
- Every account has a personal invite code and link (ayvaai.com/i/<code>). A friend who joins through it within 30 days of creating their account and hasn’t had an Ayva trial before gets 30 days free instead of the standard trial. The trial is a Google Play offer, so a payment method is required and Google Play’s trial rules apply.
- For each invited friend who pays for their first full-price subscription period (a discounted introductory period doesn’t count) and doesn’t ask for a refund within 14 days, you get a free month: if you have an active, auto-renewing Google Play subscription, your next payment is postponed by 30 days; otherwise you get 30 days of access.
- As soon as an invited friend starts their trial, you get 15 extra voice minutes on top of your monthly voice-conversation limit, at most 4 times per calendar month. The minutes are valid until the end of the calendar month (minutes earned in the last 7 days of a month count for the following month), only with an active subscription, and don’t carry over; a later refund to your friend doesn’t take them back. NÁVRH
- At most 6 rewards in the past 12 months; further paying friends are only counted. If a friend is refunded within 60 days of their first payment after you received the reward, your next reward is withheld to offset it — even if they have since deleted their account.
- There is no reward for installs, ratings or reviews. You can’t use your own code, the same device or the same e-mail address for yourself, and an invitation once used can’t be moved to another code. We may void rewards obtained by fraud or abuse. Rewards have no cash value and can’t be paid out.
- We may change or end the programme with effect for the future by announcing it on the website and in the app; invitations attached before the change follow the rules in effect when they were attached. Rules version 2026-10-09.
11. Your content and our rights
- What you put into Ayva (messages, attachments, notes) remains yours. You only give us a non-exclusive permission to process it to the extent needed to provide the service for as long as it runs, as described in the privacy policy.
- You can download your data at any time in a machine-readable format (Settings → Privacy & data → Download my data), including after the contract ends, until you delete the account.
- The app, its design, the Ayva brand and our content are protected by copyright and other rights. You get a non-exclusive, non-transferable licence to use the app on your devices for personal purposes for the duration of the contract.
12. Third-party services
Some features rely on third-party services: payments on Google Play, answers on OpenAI and Google Gemini models, connections to Google Calendar or Spotify (both only for users who connected them earlier), your MCP servers and the apps through which you send messages. Their terms apply to their use too. Your own MCP servers are run by whoever you choose, not by us — only connect ones you trust.
When a third party changes or ends its service, we may have to change the related feature; we then proceed under section 14. Weather data is provided by MET Norway under the CC BY 4.0 licence (api.met.no).
13. Liability
We are liable for damage under the law. Nothing in these terms limits or excludes our liability where the law does not allow it — in particular for harm to life, health or other natural rights of a person, or damage caused intentionally or by gross negligence — nor your rights as a consumer, in particular your rights for defective performance.
We are not responsible for the content and functioning of third-party services you choose yourself and that we don’t run (your MCP servers, the apps through which you send messages), nor for damage you cause yourself by breaching these terms, except where the law makes us liable.
14. Changes to the service and these terms
We may change the service and these terms only for a valid reason: a change in the law or an authority’s decision, security, a change or end of a third-party service, replacing the AI model with a comparable one, preventing abuse or developing the service. A change must not cost you anything extra.
We will tell you about a substantial change, or one that is unfavourable to you, by e-mail and in the app at least 30 days in advance, with a description of the change. If you don’t agree, you may terminate the contract free of charge within 30 days of the notice (or of the change taking effect, if later) and we will refund a proportionate part of the subscription for the unused paid period. Price changes are covered by section 4.
15. Complaints and dispute resolution
Send complaints and suggestions to veselyjan@ayvaai.com; we handle them without undue delay.
If a dispute cannot be resolved by agreement, as a consumer you have the right to out-of-court resolution of consumer disputes. The competent body is the Czech Trade Inspection Authority (Česká obchodní inspekce), adr.coi.cz. Consumers from other EU countries can also get help from the European Consumer Centres Network. Compliance with consumer protection obligations is supervised by the Czech Trade Inspection Authority and data protection by the Office for Personal Data Protection.
16. Governing law
The contract is governed by Czech law. If you are a consumer habitually resident in another EU country, this choice does not deprive you of the protection afforded to you by the mandatory provisions of the law of your country of habitual residence. A consumer may also sue in the courts of their country of residence and may be sued only there.
17. Final provisions
If any provision turns out to be invalid, the rest remain in force. These terms are always available on this page and you can save or print them; we will send you earlier versions on request. The processing of personal data is described in the privacy policy.
